Anti-Corruption Policy

1. Purpose

The purpose of this Anti-Corruption Policy is to ensure that Innovative Info Solutions Pvt. Ltd. conducts all its operations in an ethical, transparent, and legally compliant manner, with zero tolerance for bribery or corruption in any form.


2. Scope

This policy applies to:

  • All employees and management of Innovative Info Solutions Pvt. Ltd.
  • Contractors, consultants, and agents representing the company
  • Third parties working with or on behalf of the company

It applies across all locations, including international business dealings.


3. Definition of Corruption and Bribery

  • Bribery: Offering, giving, receiving, or soliciting anything of value (cash, gifts, favors, etc.) to influence a decision or gain an improper advantage.
  • Corruption: Abuse of entrusted power for private gain, including embezzlement, nepotism, fraud, and facilitation payments.

4. Prohibited Conduct

The following are strictly prohibited:

  • Offering or accepting bribes in any form
  • Making facilitation payments (small unofficial payments to expedite routine actions)
  • Engaging in kickbacks, secret commissions, or unlawful gifts
  • Misrepresenting company records to conceal corrupt activity
  • Using third parties to circumvent anti-corruption controls

5. Gifts, Hospitality, and Entertainment

  • Modest and occasional gifts or hospitality may be allowed only if they are:
    • Of nominal value
    • Transparent and disclosed
    • Not intended to influence business decisions
  • Lavish or frequent gifts, or anything appearing to be a bribe, are strictly prohibited.

All gifts or hospitality above a certain threshold (e.g., ₹2,000) must be pre-approved by management and recorded.


6. Political & Charitable Contributions

  • Contributions to political parties or candidates on behalf of the company are not permitted unless legally approved and documented.
  • Charitable donations must be transparent and never used as a vehicle for bribery.

7. Responsibilities

a. Employees

  • Must understand and comply with this policy
  • Report any suspected violations immediately
  • Complete any required training on anti-corruption measures

b. Management

  • Ensure procedures are in place to monitor and prevent corruption
  • Investigate all reported violations confidentially and fairly

8. Reporting Violations

All employees are encouraged to report corruption concerns via:

Reports can be made anonymously and will be handled confidentially. No retaliation will be tolerated against whistleblowers acting in good faith.


9. Violations and Disciplinary Action

Any individual found to have violated this policy will face disciplinary action, up to and including termination of employment or contract, and may be reported to authorities where applicable.


10. Training and Awareness

All employees and relevant third parties must undergo periodic training on anti-corruption principles and procedures. Updates to this policy will be communicated promptly.


11. Review and Amendments

This policy will be reviewed annually or as required by changes in law or business operations. Updates must be approved by senior management.
